Nilfisk Board Backs Planned Freudenberg Takeover Offer

Nilfisk's board backed a planned cash takeover offer from Freudenberg on December 11, 2025, following a strategic review and competitive sales process. The company announcement said the board intended unanimously to recommend acceptance once the offer was made.
The proposed price was DKK 140 per share, valuing the outstanding equity at approximately DKK 3.798 billion. Nilfisk said the price represented a 35.9% premium to the previous day's closing share price. The recommendation was supported by an independent fairness opinion.
Board members, executive management and major shareholders representing 50.9% of the share capital had committed to accept, subject to specified conditions. The named shareholders included KIRKBI Invest, Ferd and PrimeStone. Nilfisk said its review had considered both continued independent operation and alternative ownership structures.
The board viewed Freudenberg's industrial experience and longer-term ownership approach as a fit for professional cleaning. At this stage, however, the transaction remained a planned offer with conditions and approvals still to be satisfied. WCB separately records completion of the offer in April 2026 and the May delisting, preserving the sequence from proposal through settlement to removal from public trading.
